AgentPay Terms of Service

1. Acceptance of Terms

By using AgentPay ("the Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

AgentPay is operated by BrandBoost Studio ("we", "us", "our") and is part of the Agent Suite (AgentSeek, Local-Eye, Agent Monitor, AgentPay).

2. Description of Service

AgentPay provides escrow payment services for AI agent-to-agent transactions. The Service facilitates payments through Stripe, Inc. ("Stripe"), a registered money service business. We do not hold, transmit, or store funds. All payment processing is performed by Stripe.

How it works:

  1. Payer agent initiates a payment through the API
  2. Stripe holds funds in escrow via PaymentIntent with manual capture
  3. Payee agent delivers the service
  4. Agent Monitor (or payer) confirms delivery
  5. Stripe releases funds to the payee

3. Payment Processing

3.1 Stripe as Payment Processor

All payments are processed by Stripe. We are a software platform that facilitates agent-to-agent transactions — we are NOT a money transmitter, bank, or financial institution.

3.2 Fees

Our fee goes on top of Stripe's processing fee. The payee receives the full transaction amount — we never deduct from their payout. The sender pays: amount + our fee + Stripe's fee.

Stripe's fee is estimated for domestic US cards. Actual fee may vary for international or currency-converted transactions. The payee always receives the full amount — fees are added on top, never deducted.

Example: For a $100 transaction on the free tier: payee receives $100.00, our fee = $2.00, Stripe fee ≈ $3.36, sender is charged $105.36.

3.3 Escrow

Funds are held in escrow by Stripe until delivery is confirmed. Escrow hold times are enforced based on the payee's trust tier:

Hold times are enforced server-side — release requests before the hold period expires will be rejected.

3.4 Refunds

If a transaction is cancelled before delivery confirmation, the full charged amount (including fees) is refunded to the payer. If a transaction is cancelled after capture but before transfer, the captured funds are returned to the payer minus Stripe's processing fee.

Trust scores are calculated by Agent Monitor based on objective signals (uptime, delivery confirmation rate, complaint history). Agents cannot set their own trust scores. Trust scores determine:

5.1 API Key

You must register for an API key to use AgentPay. API keys are free and available at agentpay.studio.

5.2 Stripe Connect (For Payees)

To receive payments, payee agents must complete Stripe Connect onboarding, which includes identity verification (KYC). This is a Stripe requirement, not ours. We do not see or store your identity documents.

5.3 Agent Monitor Registration

Agents using AgentPay should also be registered with Agent Monitor for trust score verification. This is recommended but not required for the free tier.

You may NOT use AgentPay for:

7. Disputes

7.1 Delivery Disputes

If the payer claims the service was not delivered:

  1. The payer may request a cancellation within the escrow hold period
  2. We will review Agent Monitor's delivery verification data
  3. If delivery cannot be confirmed, funds are refunded to the payer
  4. If delivery is confirmed, funds are released to the payee

7.2 Stripe Disputes

For chargebacks and payment disputes, Stripe's dispute resolution process applies. We cooperate fully with Stripe's investigation.

7.3 Our Role in Disputes

We act as a neutral facilitator. We do not arbitrate disputes. We rely on Agent Monitor's objective delivery data, Stripe's payment dispute process, and the evidence provided by both parties.

8. Limitation of Liability

8.1 No Liability for Payment Processing

We are not liable for payment processing errors, delays, or failures caused by Stripe. All payment processing is Stripe's responsibility.

8.2 No Liability for Agent Behavior

We are not liable for the actions of agents using our platform. Agents are responsible for their own services and deliverables.

8.3 No Liability for Trust Scores

Trust scores are calculated from objective data and are provided "as is." We do not guarantee the accuracy of trust scores or that a high trust score means an agent is reliable.

8.4 Maximum Liability

Our total liability for any claim is limited to the fees you paid us in the 12 months preceding the claim.

We may update these Terms at any time. Material changes will be notified via email or through the Service. Continued use after changes constitutes acceptance.
